About This Role:
Biogen is seeking a dedicated Corporate Paralegal to join our legal team. This role is pivotal in supporting our company's compliance with SEC regulations and managing corporate governance. As a Corporate Paralegal, you will be immersed in preparing SEC filings, coordinating legal and compliance surveys, and facilitating corporate governance activities. Your meticulous work will directly contribute to the integrity of our public reporting and the adherence to our stock ownership guidelines. What You'll Do:
- Prepare and file SEC documents such as Form 8-K and Section 16 filings, and assist with the proxy statement preparation.
- Coordinate annual questionnaires for executive officers and Board members, and prepare the stock ownership table for the proxy statement.
- Assist in the quarterly and year-end close process, including legal and compliance disclosure surveys and liaising with auditors and company officers.
- Manage Corporate Governance disclosures and the investors section of the Biogen website.
- Liaise with transfer agent on shares outstanding reports and reconcile records.
- Assist with the compliance of Biogen's Insider Trading and Information Policy.
- Support the Board of Directors and its committees with corporate governance matters.
- Draft Board and committee minutes, agendas, and resolutions, and coordinate Board mailings and Director payments.
- Maintain conflict of interest records and the Board education policy.
- Manage U.S. corporate entity governance and assist with non-U.S. corporate entity governance.
- Work with Finance and Internal Audit to ensure SoX compliance on behalf of the Law Department.
- Provide general support to the legal department and assist with special projects.

Qualifications
Required Skills:
- Bachelor's degree required
- A minimum of 10 years of corporate and securities legal assistant experience at a major Nasdaq company or an AmLaw 100 law firm
- Expertise in public company governance, Section 16 reporting, and SEC rules and obligations
- Unwavering ability to maintain confidentiality
- Exceptional organizational and communication skills, both written and verbal
- Proficiency in Microsoft Word, Excel, and PowerPoint
- Proven experience interacting with senior executives and Board members
- Self-motivated, adaptable, and decisive with mature, independent judgment.
Preferred Skills:
- Paralegal Certification preferred.
- Experience with international corporate governance.
- Familiarity with SoX compliance protocols preferred.
Additional Information
The base compensation range for this role is $39.90 to $51.90 per hour. Base salary is determined by a combination of factors including, but not limited to, job related years of relevant experience, internal equity, and location of the job. Additionally, this role is eligible for participation in Biogen's LTI grants and other incentive programs.
